Freely App is a HbbTV operator application (“Freely Service”) provided by Everyone TV Platforms Limited (‘we’ or ‘us’), a company registered in England (company number: 09880917) with registered office at located at Triptych Bankside, 6th Floor, 185 Park Street, London, SE1 9SH, United Kingdom.
These terms and conditions set out the agreement that governs the use of Freely Services between us and our customers (‘you’ or ‘customer’).
- By accessing, and/or using Freely Services, you agree to these terms and conditions together with our Privacy Policy (privacy link and QR code] (which we together refer to as these “Terms”).
- All intellectual property rights, including copyrights, trademarks, and any other proprietary rights related to the Freely Service belong to us or the content provider as the case be.
- We grant you a non-exclusive and non-transferable licence to use the Freely Service in accordance with these Terms. We reserve the right to revoke your licence at any time at our sole discretion.
- You agree:
a. to use the Freely Service on your device for private, non-commercial use;
b. to use the Freely Service in accordance with applicable law and regulations;
c. to comply with our technical requirements which may be updated from time to time;
d. not to nor permit any person to: e. not to nor pee. except as expressly authorised by us, not to, nor attempt to- i. use the Freely Service for public or commercial use, for example, by charging others for accessing them;
- ii. modify, copy, reproduce, rebroadcast, or retransmit in any way any of the content or connected services (except as permitted by law); or
- iii. access or use the content services for any unlawful purpose;
- i. reverse engineer, decompile, or access the source code for any component of the Freely Service;
- ii. modify any part of the Freely Service;
- iii. interfere with, disrupt, damage, or interrupt the Freely Service, or engage in any conduct that is reasonably likely to do so;
- iv. use any part of the Freely Service to design or build a competing product or service;
- v. break or bypass any security controls or restrictions in the Freely Service;
- vi. use the Freely Service for any unlawful, illegal, or unethical purposes; or vii. remove, circumvent, or decrypt any digital rights management or any other protection measures within the Freely Service.
- You are responsible for any use of your device and/or the Freely Service received through the device.
- You are responsible to ensure that your device has the most up-to-date software installed. Using outdated versions may limit your access of the Freely Service.
- You are responsible for any charges or costs associated with you using Freely Services, including but not limited to television licence and internet network charges.
- Content services made available in or from the United Kingdom may only be available outside the United Kingdom to the extent permitted by the content provider, and pursuant to the laws of England.
- We have the right to make changes from time-to-time, to these Terms (or issue new Terms to replace the previous terms), when we consider it necessary to do so, for example to reflect any changes to the Freely Service and/or any other changes that are necessary to meet legal or regulatory requirements.
- The terms and the pricing (if any) which apply to any content services are determined by the content provider and are not part of these Terms.
- You must abide by any terms required by content providers in relation to accessing their content services.
- In order to use certain elements of the Freely Service you will need a broadband internet connection with a speed no lower than the speed recommended by your device manufacturer and/or the content provider (whichever is faster).
- Some content services use digital rights management security features and/or other content-protection measures. These features and measures enable content providers to protect their content when they make it available to you. It is not permitted to remove or circumvent or try to remove or circumvent these features or measures.
- Occasionally, the Freely Service may be interrupted, or your use suspended or restricted where reasonably necessary for technical, operational, security, legal or regulatory reasons without prior notice to you. If this happens, the relevant service will be restored as soon as reasonably practicable. To the fullest extent permitted by applicable law, we and any content providers shall have no liability for any loss or harm suffered by you as a result of such interruption, suspension or restriction.
- The Freely Service is provided on an 'as is' basis and all implied or statutory warranties, conditions, or other terms are excluded to the maximum extent permitted by applicable law.
- Without limiting the above, we make no guarantees, representations, or warranties about the availability of the Freely Service.
- Some content made available through the Freely Service may not be suitable and/or available for everyone. This might include programmes that are not appropriate for children, or content services for which payments are required. You are responsible for setting up and maintaining parental controls provided by the device manufacturer or any other controls that are available through the Freely Services.
- You may terminate this agreement at any time by deleting the Freely App from your device. Upon termination, you will not have access to Freely Service.
- Failure to comply with these Terms may result in us suspending or terminating your access to the Freely Service or certain elements of the Freely Service. Where practicable, we may elect to suspend your access to the Freely Service (or any part of it) before terminating access. Any suspension of your access to any part of the Freely Service will be lifted once we are reasonably satisfied that any breach by you of these Terms have been sufficiently rectified.
- You agree to indemnify us and hold us harmless from any and all third party claims, suits, losses, damages, or proceeding arising out of, or related to your breach of these Terms.
- We may, at our sole discretion, transfer our rights and obligations under these Terms to another entity without prior notice to you.
- If a provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- These Terms and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with it, its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
